These Terms govern your use of the Rōvn platform operated by Rovn LLC ("Rōvn"). By creating an account or otherwise using the Service, you agree to these Terms.
Subscriptions are governed by an Order Form that references these Terms and, where Rōvn handles PHI on the Customer's behalf, a Business Associate Agreement (BAA). Pricing tiers (Essentials, Growth, Scale, Enterprise) are described on rovn.to/#pricing. Implementation services may be scoped under a Statement of Work.
Rovn is currently free for Worker Users. Premium worker features may be introduced in the future and will be disclosed before any charge. Worker Users own their credential data; release of a packet to an Organization User requires explicit consent.
You will not (a) misrepresent identity or credentials, (b) interfere with or disrupt the Service, (c) circumvent access controls, (d) reverse-engineer or scrape the Service for non-licensed purposes, (e) post unlawful, fraudulent, or harassing content, (f) use the Service to discriminate against any protected class, or (g) submit content for which you do not have the right to submit.
Rovn supports source-verification workflows against credentialing data sources (NPDB, Nursys/state-board paths, OIG, SAM, issuers, and others). Verification reflects the source of record at the time of query. Organizations remain responsible for their own hiring and credentialing decisions.
Use is governed by our Privacy Policy. Security controls and HIPAA posture are described on the Security and HIPAA pages.
Rōvn owns the Service and all related software, models, and content other than Customer Content. You retain rights to Content you submit and grant Rōvn a license to host, process, and display that Content as needed to operate the Service. Rōvn may use de-identified, aggregated data for product improvement.
Customer subscriptions renew per the Order Form. Fees are exclusive of taxes. Late amounts may accrue interest and may suspend access. Refunds are issued only as required by law or stated in the Order Form.
Each party will protect the other's confidential information using reasonable measures and will not use or disclose it except as needed to perform under these Terms.
Except as expressly stated, the Service is provided "as is". Rovn disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Rovn is not the employer of Worker Users, is not a party to any employment relationship between organizations and workers, and does not guarantee placement, retention, or work outcomes.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages. Rōvn's total aggregate liability is capped at the fees paid by the Customer in the twelve months preceding the claim, or, for non-paying users, US $100. These limits do not apply to obligations under a BAA, breaches of confidentiality, indemnification obligations, or willful misconduct, to the extent prohibited by law.
Each party will defend the other against third-party claims arising from its breach of these Terms, infringement of IP, or violation of law, subject to prompt notice and reasonable cooperation.
Either party may terminate for material breach not cured within thirty days of notice. Customers may terminate per their Order Form. Sections that by nature should survive termination will survive.
We may update the Service. We will give Customers reasonable notice of materially adverse changes to these Terms. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of Delaware without regard to conflict of laws rules. Disputes will be resolved in state or federal courts located in Delaware. The parties may agree in writing to alternative dispute resolution.
These Terms, together with any Order Form, BAA, and the Privacy Policy, constitute the entire agreement. If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing.
